Sounds like a plan. You may want to look for a member listing a M939 series truck being parted out and ask for the tool box. They are a nice tool box with descent storage capacity.
Here are a few suggestions:
1-Why not just use self tapping screws next to the existing holes. You can drill new holes in the hinge first (slightly larger than the screws).
2-Replace the outer frame.
3-Use a Nut/thread riveter to insert threaded inserts into the holes and then use machine...

You could have solved the relocation issue by just using a round muffler like the 18 wheelers use and install the stack on the side of the cab like the 18 wheelers do.
